These Terms and Conditions, together with the Service Agreement, constitute a legally binding agreement made between the Client identified in the Service Agreement and GIGUERE CONSULTING INC. (“we,” “us,” or “our”), concerning Client’s access to and use of our website (the "Site"). By using the Site, you agree to be bound by these Terms and Conditions.

1. Agreement to Terms

By accessing the Site, you confirm that you have read, understood, and agreed to be bound by these Terms. We may update these Terms from time to time and will post revisions on the Site.

2. Client Access and Data

You are granted a non-exclusive, non-transferable right to access and use the Site for business purposes. Client retains ownership of all uploaded data but grants us a license to use it as necessary to provide services.

3. Intellectual Property

All intellectual property on the Site, including code, designs, text, images, and trademarks, are the property of GIGUERE CONSULTING INC. and protected by law. Unauthorized use is prohibited.

4. Client Representations

• All registration information you provide will be accurate and up-to-date.
• You will not use the Site for unlawful purposes.
• You have the necessary permissions (including TCPA consents) for data you provide.

5. Confidentiality

Both parties agree to protect confidential information shared under this agreement. Exceptions apply where disclosure is legally required or information is already public.

6. Prohibited Activities

You agree not to misuse the Site, including uploading malicious code, impersonating users, or attempting to bypass security features.

7. Warranties and Disclaimer

Services are provided “as is,” with no warranties other than compliance with applicable law. We disclaim implied warranties of merchantability, fitness for purpose, and non-infringement.

8. Limitation of Liability

We are not liable for indirect, incidental, or consequential damages arising from use of the Site. Liability is limited to the amount paid for services in the prior six months.

9. Governing Law

These Terms are governed by the laws of Delaware, USA. Disputes shall be resolved via binding arbitration in San Francisco, California, unless exceptions apply.
